1. Scope of Services

Upon execution of this Agreement, ForInvest grants the User the right to access and use the subscribed services solely for its own internal business purposes.

The nature, scope, content, and delivery of the Service may be defined in separate descriptions and may be modified, enhanced, or discontinued by ForInvest at its discretion.

ForInvest retains all necessary rights to distribute the Data and Service. In the event that such rights are withdrawn or restricted by any third-party provider or exchange, ForInvest shall be entitled to suspend or terminate the Service without liability.

2. License and Use

ForInvest grants the User a limited, non-exclusive, non-transferable, revocable license to use the Service and any associated software or Data:

• solely for internal business purposes;
• subject to user limits and access controls, including login restrictions.

Unless otherwise agreed:

• access is limited to the authorized User only;
• concurrent or shared usage is prohibited.

The User shall not:

• reproduce, copy, or redistribute the Service or Data;
• reverse engineer, decompile, or attempt to derive source code;
• remove proprietary notices;
• make the Service available to third parties;
• disclose Data or any part of the Service externally.

The Service shall remain at all times the exclusive property of ForInvest and/or its licensors.

3. Third-Party Data and LME Compliance

The User acknowledges that the Service includes Data provided by third parties, including exchanges such as the London Metal Exchange (“LME”).

Accordingly, the User agrees that:

• Data is provided solely for internal use and may not be redistributed in any form;
• the User shall comply with all applicable exchange rules and licensing requirements;
• the User may be required to declare its status as a professional or non-professional user;
• the User shall not use the Data for external commercial exploitation, data redistribution, data vending, or creation of competing services.

The User further acknowledges that:

• ForInvest may monitor and enforce compliance with exchange requirements;
• ForInvest may suspend or terminate access where required by exchanges or licensors;
• the User shall cooperate with any reporting or compliance obligations.

4. Derived Data and Analytics

The Service may include analytics, calculated values, reports, indicators, summaries, forecasts, or derived data based on underlying market data.

Such derived data remains subject to the same usage restrictions as the original Data and may not be redistributed, published, transferred, or commercialized without ForInvest’s prior written consent.

5. Fees and Payment

Service fees shall be calculated in accordance with ForInvest’s applicable pricing.

• Fees may be amended upon prior notice of at least two (2) months;
• in case of a price increase, the User may terminate the affected service with one (1) month’s notice;
• invoices are payable within thirty (30) days without deduction.

Failure to make payment may result in suspension or termination of access.

6. Access and Security

ForInvest shall implement reasonable measures to ensure secure access to the Service via assigned credentials.

The User:

• is responsible for maintaining the confidentiality of usernames and passwords;
• shall ensure that access is limited to authorized individuals;
• shall be liable for any misuse of the Service under its credentials.

7. Confidentiality

ForInvest undertakes to treat User data as confidential and to apply protection measures consistent with industry standards.

The User shall not disclose any part of the Service, Data, software, documentation, or related information to third parties.

8. Service Availability and Modifications

The Service and Data are provided on an “as is” and “as available” basis.

ForInvest:

• does not guarantee uninterrupted, timely, complete, or error-free operation;
• may perform maintenance, updates, or changes without prior notice;
• may change delivery methods, technical access, content, or data sources where necessary.

9. Disclaimer and Liability

ForInvest shall not be liable for:

• any losses arising from use of the Service or Data;
• any failure, interruption, delay, or deficiency in data delivery;
• any indirect, incidental, special, punitive, or consequential damages;
• trading losses, lost profits, business interruption, or data loss.

In the event of proven fault attributable to ForInvest, liability shall be limited to the pro-rata portion of fees paid for the affected Service, provided that the claim is submitted in writing within three (3) days of occurrence.

10. Term and Termination

This Agreement shall remain in force until the end of the first full calendar year following execution and shall thereafter renew automatically unless terminated.

Termination:

• may be effected with three (3) months’ prior written notice;
• may be immediate in case of breach or regulatory requirement;
• may be immediate if third-party data rights are withdrawn or restricted.

Upon termination, all rights to use the Service and Data shall cease immediately.

11. Audit and Compliance

The User agrees that:

• ForInvest may audit usage of the Service to ensure compliance;
• the User shall provide access to relevant systems and information if reasonably required;
• such audits may be necessary to comply with obligations to exchanges, licensors, and other third-party providers.

12. Governing Law and Jurisdiction

This Agreement shall be governed by the laws of the Republic of Türkiye.

The courts and enforcement offices of Istanbul shall have exclusive jurisdiction.

13. Final Provisions

Any amendments, annexes, or additional agreements shall only be valid if made in writing and expressly referencing this Agreement.

This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements, representations, or understandings relating to the subject matter herein.
